Terms & Conditions
Last updated 2 September 2026. These terms apply to any quote, project, or maintenance plan agreed with Vaeloware.
1. Who we are
Vaeloware is a South African software studio operated by a single founder, providing website, web application, ecommerce, and maintenance services. Throughout these terms, "we", "us", and "Vaeloware" refer to the studio, and "you" and "client" refer to the person or business engaging our services.
2. Quotes and scope
Prices shown on this site are starting prices for standard packages. Every project begins with a scoping conversation, after which you receive a written quote covering deliverables, timeline, and cost. Work only begins once that quote is accepted. Requests that fall outside the agreed scope are treated as additional work and quoted separately before we proceed.
3. Payment
Standard builds are billed 50% upfront and 50% on delivery. Larger custom projects are billed across milestones, agreed in the project plan. Maintenance plans are billed monthly in advance and run month to month. Invoices are payable within 7 days unless otherwise agreed in writing. We reserve the right to pause work on overdue accounts.
4. Your responsibilities
Timelines depend on you supplying content, feedback, access to accounts (hosting, domain, payment providers), and approvals promptly. Delays on your side may extend the delivery date and, where significant, may require a revised timeline or quote.
5. Revisions
Each package includes a set number of revision rounds, listed on the pricing page. Further changes after that are billed at our standard hourly rate, or included automatically if you are on a maintenance plan with available hours.
6. Intellectual property
Once a project is paid in full, ownership of the final deliverable (design files, source code written for your project, and content we created on your behalf) transfers to you. We retain the right to reuse general techniques, patterns, and reusable knowledge developed during the project, and to display the finished work in our own portfolio unless you ask us not to.
7. Third party services
Projects often rely on third party services: hosting providers, payment gateways such as PayFast, Yoco, or Paystack, domain registrars, and similar tools. Those services have their own terms and fees, and your agreement with them is separate from your agreement with us. We are not responsible for outages, price changes, or policy changes on third party platforms.
8. Maintenance plans
Maintenance plans run month to month with 30 days' notice required to cancel. Unused development hours do not carry over unless stated on the pricing page for your plan. Cancelling a maintenance plan does not affect ownership of work already delivered.
9. Warranties and liability
We build and test every project carefully, but software is provided on an as is basis after handover. We are not liable for indirect, incidental, or consequential loss, including lost revenue or data, arising from the use of a site or application we built, except where liability cannot be excluded under South African law. Our total liability for any claim is limited to the amount paid for the relevant project.
10. Termination
Either party may end an engagement with written notice. If you cancel a project part way through, you remain responsible for payment for work completed up to that point.
11. Governing law
These terms are governed by the laws of South Africa, and any dispute will be subject to the jurisdiction of the South African courts.
12. Changes to these terms
We may update these terms from time to time. Changes apply to new engagements from the date they are published here; work already in progress is governed by the terms agreed at the start of that project.
